Wholesale Terms and Conditions

These Wholesale Terms & Conditions apply to all wholesale purchases from Whimsigo LLC (“Whimsigo”).

ORDER MINIMUMS

Opening order minimum: $50
Reorder minimum: $100

All orders are subject to product availability and acceptance by Whimsigo. Whimsigo reserves the right to refuse or cancel any order at its discretion.

Wholesale pricing is confidential and intended solely for approved wholesale accounts.

Payment must be received prior to order processing unless otherwise agreed to in writing. Custom or special orders may require additional production and processing time.

AUTHORIZED RETAILERS

Wholesale accounts are available only to approved retail businesses operating a physical brick-and-mortar storefront and/or a professionally maintained branded ecommerce website.

Wholesalers, distributors, or resellers operating exclusively through third-party marketplaces are not eligible without prior written approval.

PAYMENT TERMS

Accepted payment methods include credit card, ACH, or other approved payment methods.

Approved Net Terms accounts are due according to the agreed payment schedule. Late payments may result in delayed shipments, suspension of wholesale privileges, or finance charges where permitted by law.

Whimsigo reserves the right to revoke Net Terms at any time based on account history or nonpayment.

CHARGEBACKS & UNPAID INVOICES

Past due invoices may be subject to late fees or finance charges as permitted by law.

Accounts with overdue balances may have pending orders delayed or canceled until payment is received.

Customers are responsible for any chargebacks, payment disputes, collection costs, or associated fees resulting from unpaid invoices.

SHIPPING

Orders over $300 qualify for free standard shipping within the continental United States. Orders under $300 are subject to a flat 7% shipping fee.

Net Terms accounts are billed actual shipping costs unless otherwise agreed.

Expedited shipping requests, address corrections, rerouting, or special delivery accommodations may incur additional charges.

Risk of loss transfers to the buyer upon shipment from Whimsigo.

INTERNATIONAL ORDERS

International orders may be subject to additional shipping charges, customs duties, import taxes, brokerage fees, and other country-specific charges.

The customer is solely responsible for all applicable customs fees, duties, taxes, and import regulations associated with international shipments.

Whimsigo is not responsible for delays caused by customs processing or international carriers.

RETURNS, DAMAGES & LOST SHIPMENTS

Claims for damaged, defective, missing, or incorrect items must be reported within 7 business days of delivery.

Claims for lost shipments marked as delivered by the carrier must be reported within 5 business days.

Returns are not accepted without prior written authorization from Whimsigo. Unauthorized returns may be refused.

Products damaged due to customer handling, improper storage, or normal retail wear are not eligible for replacement or credit.

RESALE POLICY

Wholesale customers agree to sell Whimsigo products only through approved retail channels.

Resale on Amazon, Walmart Marketplace, eBay, Etsy, Faire wholesale-to-wholesale, or any other third-party marketplace platform is strictly prohibited unless expressly authorized in writing by Whimsigo.

Unauthorized marketplace sales may result in immediate termination of the wholesale account, cancellation of pending orders, and restriction from future purchasing.

BRAND REPRESENTATION

Wholesale customers agree to represent the Whimsigo brand professionally and accurately.

Products may not be altered, repackaged, relabeled, bundled, or sold under another brand name without prior written approval.

All product photography, logos, branding, and marketing materials remain the intellectual property of Whimsigo and may only be used for approved promotional purposes.

PRICING

Wholesale pricing is subject to change without notice. Prices in effect at the time an order is placed will apply.

Retailers are encouraged to maintain pricing consistent with the Whimsigo brand positioning.

MAP POLICY (MINIMUM ADVERTISED PRICE)

Retailers are encouraged to maintain pricing consistent with the Whimsigo brand image and positioning. Excessive discounting or promotional pricing that may negatively impact the perceived value of the brand is discouraged.

ACCOUNT TERMINATION

Whimsigo reserves the right to refuse service, suspend shipments, cancel orders, or terminate wholesale accounts at its discretion for violations of these terms, nonpayment, unauthorized resale activity, or conduct that may harm the brand.

FORCE MAJEURE

Whimsigo shall not be held responsible for delays or failure to fulfill obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, severe weather, supply chain disruptions, labor shortages, carrier delays, acts of government, pandemics, or other unforeseen events.
